DIRECTORS AND OFFICERS

       The Association is a California Mutual Benefit Corporation. As a corporation it has stockholders (“Owners”) who elect a Board of Directors who in turn elect Officers. It has Articles of Incorporation and Bylaws just like any other corporation.

  The responsibilities of an association Board of Directors and Officers are described as follows:
Board action is not required for all corporate activities. The activities and affairs of the corporation must be conducted and all corporate powers shall be exercised by or under the direction of the board. However, the board may delegate the management of day-to-day activities to any person, including an officer, director, committee, or property manager, so long as all corporate powers are exercised at the ultimate direction of the board. The board is not intended to be the executive body in the corporate structure, but rather the policy-making body pursuant to whose overall supervision and control those who actually carry on the daily operations of the association act.

      As in the case of most corporations, some of the Directors of the Association are also Officers. Officers need not be directors. The only officer who must also be a director is the President. Some of the time individuals who are both directors and officers are performing their executive responsibilities as officers dealing with the day to day administration of the Association. At other times, they are performing their duties as directors to set policy and to make certain the officers are performing their executive responsibilities in accordance with those policies.

      Elections of directors are governered by Civil Code Section 5105

 

The Association is a self-managed association with the day-to-day management of the Association delegated to the officers in accordance with the following statutory authority:

 

Corp. Code § 7210. Board of Directors; Exercise of Powers;

 

Delegation of Management. Each corporation shall have a board of directors. Subject to the provisions of this part and any limitations in the articles or bylaws relating to action required to be approved by the members (Section 5034), or by a majority of all members (Section 5033), the activities and affairs of a corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the board. The board may delegate the management of the activities of the corporation to any person or persons, management company, or committee however composed, provided that the activities and affairs of the corporation shall be managed and all corporate powers shall be exercised under the ultimate direction of the board.

 

Applicable law and the Association’s CC&Rs, Bylaws and Rules require certain matters to be decided by the Board. All such matters are decided by the Board and not the officers.
